General terms and conditions for e-Learning

 

1. Licenses and use of digital training 

When purchasing licenses for the training, the Customer receives anon-exclusive, non-transferable license for internal use within their company or organization. A separate license is required for each user. The license is valid for 12 months from the activation date.  

2. Availability and support

The Provider offers support for error reports and technical issues that prevent access to e-learning courses or other digital services. Support is provided via email at helpme@lexicon.se, with responses typically given within two business days.  

3. Warranty commitments

The training is compatible with commercially available versions of modern web browsers at the time of agreement, such as Safari and Chrome. Customers have the right to receive product updates at no additional cost within 12 months from the contract start date, ensuring functionality and content improvements when delivered through Lexicon’s learning platform.  

4. Limitation of liability

The Customer accepts the digital training as is. The training is not designed for business-critical operations.The Provider is not responsible for indirect or direct damages or consequential losses, such as data loss, lost profits, or business disruption resulting from the use or inability to use the training.  

5. Intellectual property rights

The Provider, Lexicon, or its licensors own all rights to the digital training and related product information. The Customer may not reproduce or allow third parties to reproduce the training. This section remains valid even after contract termination. The Customer receives a limited license to use the material for skill development for the individuals covered by the purchase. Copying, modifying, or distributing the material beyond this purpose is prohibited without written consent from the Provider.  

6. Transfer and copyright

The Customer may not transfer their rights under the agreement without written approval from the Provider. The Provider reserves the right to transfer its rights and obligations under the agreement to an affiliated company within the group. If the agreement is terminated and the Customer handles hosting independently, the Provider reserves the right to monitor the removal of the product by the Customer. This should be done as soon as possible per the agreed terms. All backup copies must be deleted.  

7. Subcontractors 

The Provider reserves the right to use subcontractors to fulfill its obligations under the agreement and is responsible for their performance as if it were its own.  

8. Payment terms 

Invoices are issued at the time of order. Payment must be made within 30 days from the invoice date. In case of non-payment, late fees and interest charges will apply in accordance with the current reference rate +8%, along with an additional reminder fee. If the invoice remains unpaid, the Provider reserves the right to temporarily suspend access to services and materials until full payment is received.  

9. Personal data processing 

All personal data processing under this agreement complies with the EU General Data Protection Regulation (GDPR) and Swedish data protection laws. If other legal provisions deviate from GDPR, those provisions take precedence. For more details on Lexicon’s handling of personal data, refer to the Privacy Policy:  Lexicon’s Privacy Policy

Customers also have the right to submit complaints regarding personal data handling** to the Swedish Authority for Privacy Protection (IMY):

10. Force Majeure

The Provider is not liable for delays or failures caused by circumstances beyond its control, such as natural disasters, war, pandemics, or other force majeure events.  

11. Governing law and dispute resolution 

This agreement is governed by Swedish law. Disputes shall be resolved primarily through negotiation between the parties. If negotiations fail, disputes shall be settled in a Swedish court, with Stockholm District Court as the first instance.  

12. Contract validity

The contract enters into force upon signing and remains valid for 12 months from the activation date of the licenses. Upon renewal, the Provider may adjust pricing for the next contract period.  

13. Confidentiality and references

Both parties agree not to disclose confidential information obtained during the collaboration without written consent. Confidentiality applies during and after the contract period. The Provider has the right to use the Customer as a general reference without specific obligations.  

14. Other terms 

Any deviations from the general terms and conditions must be in writing and signed by both parties.  

15. Right of withdrawal for consumers

Consumers typically have a legal right of withdrawal when purchasing digital training. However, by logging into the learning platform and accessing the course material, the consumer agrees to waive their right of withdrawal. This provision applies only to individual consumers and does not affect businesses or legal entities.
